Course Overview

Welcome to our Companies Act training resource. This course is designed for board directors and company secretaries running companies limited by guarantee (CLG) in the Republic of Ireland. In this course, we aim to:

• help you develop a solid understanding of the legal duties of a company director and company secretary;
• provide you with a comprehensive Board Director’s Handbook to download and guide you in your non-profit governance role; and,
• provide with an editable compliance checklist.

Course Structure

The course takes approximately 1 hour to review. Topics are self-contained to facilitate micro-learning for the time conscious participant.

Lesson 1: Introduction to the Companies Act 2014

The Companies Act commenced on June 1^st, 2015. In this lesson, we look at the implications of the Act for existing companies limited by guarantee and for those organisations who may wish to take this legal form in the future.

Lesson 2: Company Constitution

In a CLG, the constitution comprises a memorandum and articles of association. This governing instrument may be thought of as the ‘rule book’ by which a non-profit company should be run. In this lesson, we take a quick look at the typical contents of a company constitution.

Lesson 3: Board Governance Process and Procedures

Aside from ensuring that the company constitution adheres to the requirements of the Companies Act 2014, board directors should also put in place the processes and procedures necessary to effectively govern the company. This lesson provides participants with our 8^th Edition Board Governance Handbook to download and retain as a board director reference.

Lesson 4: Compliance Overview

When it comes to identifying potential legal and regulatory compliance requirements, it is often helpful to have a checklist that can be referred to quickly and easily! This lesson provides participants with such a checklist.
